Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AffGoat platform ("Platform"), operated by THRONE DIGITAL LTD, a company registered in Cyprus ("Company", "we", "us"). By registering an account, you ("Affiliate", "you") agree to be bound by these Terms.

1. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years old to use the Platform. One account per person — duplicate or fraudulent accounts will be terminated.

2. KYC Verification

All affiliates must complete identity verification (KYC) before any payout can be processed. You may be required to provide government-issued identification, proof of address, and other documentation as requested. We reserve the right to suspend payouts or terminate accounts if KYC verification cannot be completed satisfactorily.

3. Affiliate Obligations

As an affiliate, you agree to:

Promote offers only through legitimate, approved traffic sources
Comply with all applicable laws and regulations in your jurisdiction
Not misrepresent offers, the Platform, or the Company
Not engage in any fraudulent activity
Provide accurate tracking and sub-ID information

4. Prohibited Traffic Sources

The following traffic sources and methods are strictly prohibited:

Incentivized traffic — paying, rewarding, or incentivizing users to click, install, or convert
Adult content — promoting offers on adult or pornographic websites
Spam — unsolicited emails, SMS, push notifications, or messages
Malware/Adware — bundled software, browser hijacking, or forced redirects
Cookie stuffing — dropping cookies without user knowledge or consent
Trademark bidding — bidding on advertiser brand names or trademarks in paid search
Click fraud — automated clicks, bots, click farms, or VPN/proxy manipulation
Misleading creatives — fake news, fake endorsements, deceptive landing pages

Violation of these rules will result in immediate account termination, forfeiture of unpaid commissions, and potential legal action.

5. Commissions & Payouts

Commission rates are set per offer and displayed on the offer detail page. We reserve the right to adjust commission rates at any time with reasonable notice.

Minimum payout: $100 USD
Payment schedule: Biweekly (every 14 days)
Payment terms: Net-14 — commissions are paid 14 days after the end of each earning period
Payment methods: Wire transfer, crypto, PayPal, or other methods as available

We reserve the right to withhold, adjust, or reverse commissions resulting from fraudulent, invalid, or non-compliant traffic. A holdback period may apply to new affiliates or high-risk traffic sources.

6. Conversion Approval

Conversions are subject to advertiser approval. We may reject or scrub conversions that do not meet advertiser quality requirements, appear fraudulent, or violate these Terms. Conversion status (pending, approved, rejected) is visible in your dashboard.

7. Referral Program

You may earn referral commissions by inviting other affiliates to the Platform. Referral commission is 5% of the referred affiliate's approved earnings for 180 days after their registration. Self-referrals, circular referrals, or fraudulent referral activity will result in forfeiture of referral commissions and potential account termination.

8. Tools & Marketplace

The Platform may offer tools and services (engagement, proxies, etc.) that can be purchased using your commission balance. Tool purchases are non-refundable and are deducted from your available balance immediately. Tool availability and pricing may change without notice.

9. Account Termination

We may suspend or terminate your account at any time, with or without prior notice, for any of the following reasons:

Violation of these Terms or any applicable policies
Suspected or confirmed fraudulent activity (see Section 10)
Failure to complete KYC verification within the requested timeframe
Chargebacks, advertiser complaints, or traffic quality issues
Account inactivity (see Section 11)
At our sole discretion, for any reason or no reason

Upon termination for fraud or policy violation:

All account balances — including unpaid commissions, pending payouts, and any funds held on the Platform — are permanently forfeited and become the property of the Company as liquidated damages
Any financial penalties assessed under Section 10 remain due and payable
You must immediately cease all promotional activity
Your tracking links will be deactivated without further notice
We reserve the right to withhold payments for up to 180 days pending investigation, even if no final determination has been made

Upon voluntary termination or termination without cause: unpaid commissions from verified, legitimate traffic may be paid at our discretion following a 30-day review period. You may request account deletion at any time through the Settings page.

By accepting these Terms, you acknowledge that the forfeiture of funds upon termination for cause constitutes a genuine pre-estimate of the Company’s losses arising from fraudulent or non-compliant conduct, and not a penalty, in accordance with the Cyprus Contract Law (Cap. 149).

10. Fraud & Financial Penalties

AffGoat maintains a zero-tolerance policy toward fraud. Fraudulent activity includes, but is not limited to: click fraud, conversion fraud, cookie stuffing, incentivized traffic without disclosure, use of bots or automated tools, VPN/proxy manipulation, misleading creatives, self-referrals, and any other activity intended to generate illegitimate commissions or deceive the Company, its advertisers, or end users. Consequences of fraudulent activity:

Immediate account suspension pending investigation
Permanent account termination upon confirmation of fraud
Full forfeiture of all account balances — all unpaid commissions, pending payouts, and any other funds held on the Platform are permanently seized and become the property of the Company
Reversal of prior payments — we reserve the right to recover (claw back) any commissions previously paid that were derived from fraudulent activity

Financial penalties (liquidated damages): In addition to fund forfeiture, the following penalties apply as a genuine pre-estimate of the Company’s losses, including but not limited to advertiser chargebacks, reputational damage, investigation costs, and system remediation:

€5,000 per confirmed instance of click fraud, bot traffic, or automated manipulation
€10,000 per confirmed instance of conversion fraud, including fabricated leads, stolen payment details, or self-conversions
€15,000 per confirmed instance of data harvesting, phishing, or identity theft conducted through or in connection with the Platform
€25,000 for systematic or organized fraud involving multiple accounts, coordinated schemes, or repeated offenses
€50,000 minimum for fraud resulting in material damage to the Company’s relationships with advertisers, partners, or regulatory standing

These amounts are cumulative — multiple violations result in multiple penalties. Penalties are immediately due upon notification and may be deducted from any account balance before forfeiture. Any remaining balance owed constitutes a debt enforceable under the laws of the Republic of Cyprus.

We further reserve the right to:

Report fraudulent activity to law enforcement authorities in Cyprus and/or the affiliate’s jurisdiction
Share fraud data with advertisers, industry databases, and other affiliate networks
Pursue civil litigation for damages exceeding the liquidated amounts specified above
Refer matters to the Cyprus Police Economic Crime Investigation Unit where criminal conduct is suspected

By registering an account, you agree that these penalties constitute a reasonable and proportionate pre-estimate of the Company’s likely losses from each category of fraud, negotiated and agreed to at arm’s length as part of a commercial (B2B) arrangement, in accordance with the Cyprus Contract Law (Cap. 149) and the general principles of freedom of contract under Cypriot law.

11. Dormant & Inactive Accounts

An account is considered "dormant" if there has been no login, no traffic activity, no conversions, and no communication from the account holder for a continuous period of twelve (12) months.

Dormancy process:

9-month warning: After nine (9) months of inactivity, we will send a courtesy notification to the email address on file, informing you that your account is approaching dormant status
11-month final notice: After eleven (11) months of inactivity, we will send a final notice giving you thirty (30) days to log in or contact us to keep your account active
12-month closure: After twelve (12) months of inactivity, the account will be permanently closed

Effect of dormant account closure:

All remaining account balances — including unpaid commissions, pending payouts, and any other funds — are forfeited to the Company
All tracking links are permanently deactivated
Account data is retained for the minimum period required by applicable law and then deleted

Reactivation: Once an account has been closed due to dormancy, it cannot be reactivated. You may apply for a new account, but forfeited balances from the prior account will not be restored or credited.

We strongly recommend that affiliates who plan to be inactive for extended periods either (a) request a payout for any available balance before becoming inactive, or (b) contact us at contact@affgoat.com to place their account on hold.

This dormancy policy is compliant with the Cyprus Contract Law (Cap. 149), is proportionate and transparent, and is disclosed to you prior to account registration. By creating an account, you acknowledge and accept this policy.

12. Limitation of Liability

The Platform is provided "as is". We are not liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount of commissions paid to you in the 90 days preceding the claim. We do not guarantee uptime, accuracy of tracking, or conversion approval rates.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your violation of these Terms; (b) your fraudulent or negligent conduct; (c) any third-party claims resulting from your promotional activity; or (d) your failure to comply with applicable laws.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, including the Cyprus Contract Law (Cap. 149) and applicable EU regulations. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Famagusta District, Republic of Cyprus.

Nothing in these Terms shall limit the Company’s right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, trade secrets, or confidential information.

15. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or dashboard notification at least fourteen (14) days before taking effect. Continued use of the Platform after changes constitutes acceptance. If you do not agree with updated Terms, you must stop using the Platform and request account closure before the changes take effect.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
